Version 2.0. Last updated: 28 October 2026. Effective from: 28 October 2026.
This is an English convenience translation. The Polish version is binding and prevails in case of any discrepancy (section 13).
These Terms of Use (“Terms”) govern your use of Noteway and the provision of its electronic services.
Definitions
- Account: your individual access to Noteway, with its associated data and settings.
- Plan: the free or paid service features and allowances described in the offer.
- Subscription: paid access that renews automatically for the period stated at purchase.
- Content: study materials you add or that are prepared for you in Noteway.
- AI: artificial intelligence used for transcription and generating materials and answers.
- Store: the App Store or Google Play.
1. Service provider
Noteway is provided by AIZA NET Sp. z o.o., with its registered office at Azalii 8, 45-940 Opole, Poland, KRS 0001226927, District Court in Opole, 8th Commercial Division of the National Court Register, NIP 9910565293, share capital PLN 5,000 (“we”). Contact, including complaints: [email protected], +48 728 228 460 or that postal address. These Terms are available free of charge before you enter into the contract, in a form you can save and reproduce.
2. Service and requirements
- Noteway supports personal study: recording classes, uploading and storing files, transcription, and AI-generated notes, flashcards, quizzes and answers. AI output may contain errors; check it against source materials. We do not promise a particular study or exam result.
- You need internet access, an e-mail address or Apple or Google account, and a device with the operating system specified in the App Store or Google Play, or a current browser with JavaScript and strictly necessary cookies enabled. Recording requires a microphone and permission to use it. Electronic services carry risks of malware, account takeover and phishing; protect your account access and keep your device updated.
- Free and paid plan features, limits, allowance periods, audio retention periods and prices including taxes appear in the Price list and before purchase. The offer at the time of contracting applies to your purchase.
- Beta access is voluntary, free and available to invited users. Its scope is stated in the invitation or app. It ends 14 days after payments launch; we announce that date by e-mail at least 14 days in advance. The account then moves to the free plan without a charge. The beta may have errors and interruptions; this does not exclude statutory user rights. Early closure of the beta is possible for the reasons in section 10.
3. Account and contract
- Noteway is available from age 13, and from age 16 in countries with a higher digital age of consent, such as Poland. If you lack full legal capacity, obtain your legal representative's consent to the contract where required by law. Reaching the minimum age or being able to pay does not replace any required consent.
- You enter into the account contract by accepting the Terms made available to you and creating an account. It is indefinite. Your account is personal; do not share or resell access. Free promotional allowances are available once per person and do not automatically convert into a paid plan.
4. Content and use
- Upload only materials you may lawfully record, send to Noteway and process for study. Respect recorded persons' rights, copyright, and school, university and lecturer rules; obtain required permissions and provide required information. At school, record with the teacher's consent; record online meetings only as a participant and tell participants. Respect requests to stop recording unless you have an independent right to continue.
- Do not provide unlawful content, patient data, other people's health information or material covered by another person's professional secrecy. Do not record exams, private conversations or classes in your absence. Without authority, do not publish, sell or share others' recordings or adaptations. Do not use the service for impersonation, harassment, profiling people, voice identification, emotion recognition or creating another person's synthetic voice. Do not evade limits or security controls, abuse promotions, access others' data or disrupt the service.
- You retain rights in your content. To the extent of the rights you hold, you grant us a non-exclusive, royalty-free licence to record and reproduce it digitally and make it available to you, and permit adaptations needed for the transcription and study materials you request. This permission lasts while the content is stored under the contract, worldwide, solely to provide the service, with permission to authorise our providers to perform the same acts. It does not cover publication or AI model training. It gives you no rights in other people's materials.
5. Purchases
- Before ordering, we identify the seller, the plan's scope and duration, price including taxes, payment method and any automatic renewal. Purchase requires express acknowledgement of the obligation to pay. You receive confirmation of the contract and its terms on a durable medium, such as e-mail.
- A subscription renews for the stated period, charged at its start. There is no minimum commitment beyond the purchased period. Cancel renewal before the next charge in Settings → Plan and payments or, for Store purchases, in Apple or Google Play settings. Access continues to the end of the paid period, then the account returns to the free plan. No refund is due solely for unused paid time or allowances within that period. This does not affect statutory withdrawal, complaint or refund rights. Products marked as one-time do not renew.
- Plan hours are available for the period stated in the offer and do not roll over. Separately purchased hours do not expire while the account continues. We explain the settlement of a plan change and its effect on existing entitlements before you confirm it.
- The Store handles payments, cancellation and refunds in its channel. The contracting seller is identified in the purchase terms; the Store's payment role does not exclude our service liability or statutory consumer rights. For payment matters, you may use the Store's procedure or contact us.
6. Withdrawal
- A consumer may withdraw from a distance contract within 14 days of contracting, without giving a reason. Automatic renewal alone on previously agreed terms does not start a new withdrawal period. Send an unambiguous statement to our e-mail or postal address or through the withdrawal form before the deadline. The model below is optional. We acknowledge statements submitted through the form by e-mail.
- If you expressly request a paid service to start within those 14 days, on withdrawal you pay in proportion to the service actually provided up to that point, based on the agreed price and compared with the full scope of the contract. This obligation arises only after the required information and your request have been obtained. Without the request, the paid service starts after the withdrawal period.
- Withdrawal from a paid service expires earlier only once the service has been fully performed with your express prior consent, after you were informed of and acknowledged this consequence. Purchase, processing starting or exhausting an allowance alone does not constitute full performance of all contractual obligations.
- Payments due for refund are returned promptly and no later than 14 days after receipt of withdrawal, by the same payment method unless you agree to another free method. After withdrawal, stop using the service covered by it; you may retrieve your content to the extent provided by law.
7. Complaints
- We are responsible for conformity with the contract, including required updates. Non-supply or non-conformity gives you statutory remedies: requesting supply or conformity and, in cases provided by law, a price reduction or withdrawal. Information about possible AI errors does not exclude these rights.
- Send complaints to the contact in section 1 or through the complaint form. Give information identifying the purchase or account and describe the problem. We answer consumer complaints on a durable medium within 14 days of receipt; absence of an answer means the complaint is accepted.
- Withdrawal rights and rights concerning conformity and service changes also apply to individuals buying in connection with their business where the purchase is not professional in nature for them. These Terms do not restrict rights that cannot be excluded by contract.
8. Changes
- Service or Terms changes are allowed only to the extent justified by changes in law or binding authority decisions, the need to fix an error or security threat, adapt to operating system or browser changes, or replace discontinued provider technology. Features may be added if they do not reduce the agreed service. Changes carry no extra costs and do not apply to services supplied as a one-off; they do not reduce purchased allowances or increase the price of a paid period or pack.
- We notify you of Terms changes by e-mail at least 14 days in advance, stating the reason, scope and date. You may terminate free of charge before they take effect. For a service change that materially and negatively affects access or use, we notify you sufficiently in advance on a durable medium of its features, date and your termination right. You may then terminate free of charge within 30 days of the change or a later notice, unless we enable you to retain the unchanged, conforming service without extra cost.
- A higher subscription price applies from the next period with your express consent; without consent there is no renewal. If a change causes a paid service to end, we refund the fee for the service not provided.
9. Notices and restrictions
- The digital services contact for authorities is [email protected]; for users it is [email protected]. We communicate in Polish and English; contact with users does not rely solely on automated replies.
- Anyone may report illegal content through the notice form, giving the reason, its exact location, their name, e-mail and belief that the notice is accurate and complete. We do not require notifier details in the cases of child sexual abuse and exploitation specified by law. If we have contact details, we acknowledge receipt and send the decision with information on challenging it.
- A person reviews notices and authority orders. We do not continuously review private materials. We may remove or restrict access to content that violates the law or section 4; for serious or repeated violations we may restrict features, suspend or close the account. We act proportionately, considering the seriousness and affected persons' rights.
- We notify you of restrictions with reasons covering their scope and duration, facts, grounds, any use of automated means and available redress, unless the law excludes that obligation. You may request reconsideration by e-mail and seek judicial protection of your rights.
10. Ending the contract
- You may end the account contract at any time by deleting it in settings or on the account deletion page. Download needed content beforehand. Deletion alone does not cancel Store renewals; cancel these with Apple or Google Play too. Closing the account does not remove rights to statutory refunds and content retrieval.
- We may suspend the account to the extent necessary while resolving a security threat, or end the contract for use below the minimum age in section 3.1 or a material breach of the Terms. We first give the reason and, where the breach can be remedied, a reasonable opportunity to do so; immediate action is possible for a serious threat to security or others' rights, or a legal obligation. Content restrictions are subject to section 9.
- We may cease the service because of winding up the business, a legal prohibition or permanent loss of essential infrastructure that cannot reasonably be replaced. We give at least 30 days' e-mail notice and enable content download unless the law or an immediate threat requires earlier action. We refund fees due for the paid service not provided; other statutory claims remain available.
11. Data switching
- You may switch to another provider or move data to your own infrastructure by e-mailing us. No notice period is required before switching starts. We complete it without undue delay and within a maximum of 30 calendar days. If this is technically unfeasible, within 14 working days we explain the obstacle and specify an alternative period of no more than seven months. You may request a longer transitional period.
- Export covers account data and settings, recordings and uploaded files, transcripts, your own and generated study materials, AI conversations, study organisation and history, purchase, consent and support request data, and their links and metadata. We provide commonly used machine-readable formats: JSON, CSV, TXT, Markdown and the formats of stored files. Only protected application code, models, internal keys and security mechanisms are excluded; exclusions do not hinder or delay switching. The description of procedures, structures, formats, standards and open interfaces, infrastructure jurisdictions, and measures protecting non-personal data held in the EU from unlawful access or transfer by third-country authorities is in the Privacy Policy, section “Data portability and infrastructure”.
- We charge no switching or early termination fees; ordinary fees follow the purchased plan. We make free open interfaces available equally to customers and destination providers. We provide you and an authorised person reasonable assistance, relevant switching information and known risks, continuity of the agreed service, and security during transfer and retrieval. The contract ends on successful switching and we notify you. Data remain retrievable for 30 calendar days after the transitional period ends. After successful switching and expiry of that period, we erase them in full unless a longer period is agreed or the law requires retention. Instead of switching, you may choose erasure and termination under section 10.
12. Disputes and effective date
Consumers may seek help from a consumer ombudsman and use out-of-court dispute resolution, including through the Trade Inspection, under the relevant procedure's rules. Information: UOKiK: out-of-court dispute resolution. These Terms apply from 28 October 2026.
13. Governing law and language
- These Terms are drawn up in Polish. The Polish version is binding. The English version is a convenience translation; in case of any discrepancy, the Polish version prevails.
- The contract is governed by Polish law. This choice of law does not deprive a consumer of the protection afforded by provisions that cannot be derogated from by agreement under the law of the country of their habitual residence.
- Disputes are resolved by the court having jurisdiction under the general rules. These Terms do not change which court has jurisdiction in disputes with consumers.
